SKV 360 Partners — Terms of Service

1. Acceptance

By creating an SKV 360 Partners account or using the SKV 360 Partners mobile application, you agree to these Terms of Service ("Terms"). If you do not agree, do not use the service.

2. Service description

SKV 360 Partners ("Service") is the referral-partner portal and mobile application operated by Sky Vista Consulting, LLC ("Sky Vista"). The Service lets approved partners submit leads, share referral links, generate QR codes, and track commissions under the Referral Agreement or Expansion Agreement you have signed with Sky Vista.

3. Account eligibility

You must be at least 18 years old and legally able to enter contracts in your jurisdiction. You must provide accurate information and keep your account credentials secure. You are responsible for all activity under your account.

4. Acceptable use

You shall not: (a) submit false, fabricated, or fraudulent lead data; (b) collect lead data via spam, unsolicited communications, data scraping, or any unlawful means; (c) violate the TCPA, CAN-SPAM, GDPR, CCPA, or any other applicable law; (d) impersonate others; (e) reverse-engineer, decompile, or attempt to extract source code from the Service or the mobile application; (f) circumvent the Service to transact directly with any Sky Vista client, prospect, or vendor; (g) disparage Sky Vista, its personnel, or its services.

5. Your referral agreement governs compensation

Commissions, payouts, tier assignments, and termination are governed by the Referral Partner Agreement or Expansion Agreement you signed. These Terms do not create any additional compensation right. In case of conflict, the signed agreement controls.

6. Intellectual property

Sky Vista retains all rights to the Service, its branding, templates, marketing kit assets, and any content Sky Vista provides through the Service. You receive a limited, non-exclusive, non-transferable license to use the Service and branded materials solely for referral activities while your agreement is in effect.

7. Content you submit

You grant Sky Vista a perpetual, worldwide, royalty-free license to use, store, process, and analyze lead data, business card images, voice memos, and related content you submit, solely for the purpose of operating the Service and running the referral program.

8. Mobile application

The SKV 360 Partners mobile application is provided under Apple's and Google's respective platform terms in addition to these Terms. You must comply with your platform's rules. Apple and Google are third-party beneficiaries of these Terms to the extent required.

9. AI-assisted features

The Service uses AI models (Claude by Anthropic, Whisper by OpenAI) to extract lead data from business card images and voice memos. Output may be inaccurate. You must review and confirm AI-extracted data before submission.

10. Termination

Either party may terminate access as provided in the underlying Referral or Expansion Agreement. Sky Vista may also suspend or terminate your account immediately for breach of these Terms, fraudulent activity, or non-payment of any due fees.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. SKY VISTA DISCLAIMS ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF AI OUTPUTS.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKY VISTA'S AGGREGATE LIABILITY IS LIMITED TO THE GREATER OF (a) TOTAL COMMISSIONS PAID TO YOU IN THE PRECEDING SIX MONTHS OR (b) USD $100. NO INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

13. Governing law

State of Nevada, USA, without regard to conflict-of-laws principles. Exclusive venue: state and federal courts in Clark County, Nevada. Jury trial waived.

14. Changes

Sky Vista may modify these Terms. Material changes will be notified by email and take effect 14 days after notice. Continued use after the effective date constitutes acceptance.
